Nadeeya Salleh

Counsel

Nadeeya is a Counsel and leads the Litigation Practice Group at HEP Law. She also plays a key role in the Corporate and Commercial Practice Group and is an Accredited Mediator with the Singapore Mediation Centre (SMC).

 

Prior to entering private practice, Nadeeya served as in-house counsel at a national oil company, where she led high-value, strategic negotiations and drafted agreements across the oil and gas value chain. Her work included upstream agreements with multinational corporations in Malaysia and Myanmar, crude oil sales with global trading houses and end users, and complex downstream joint ventures involving drilling platforms and floating production storage and offloading (FPSO) vessels.

 

Since joining HEP Law in 2022, Nadeeya has been key in expanding the firm’s dispute resolution capabilities. She has represented clients across a broad spectrum of civil and commercial disputes. Her experience includes acting for government-linked companies in arbitration as well as representing international oil and gas companies in contentious matters arising from their Brunei operations.

 

In her corporate advisory role, Nadeeya provides regulatory and transactional support under Brunei law across various sectors. Her work focuses on energy law but spans corporate acquisitions, oil and gas regulatory advice, health, safety, and environmental (HSE) law, anti-competition matters, build-to-lease and lease agreements, crude supply contracts, IT service agreements, and employment law.

Experience

  • Conducts due diligence and assists with setting up for international oil and gas companies looking to enter into in Brunei. Provides legal advice on local Bruneianization policies, corporate and oil and gas regulatory matters, such as licences, permits and consents required to provide oil and gas services in Brunei. Continuing legal support after establishment of operations, such as advice on employment law, compliance with company law, advice on rig sale, transfer of ownership and assisting with contentious matters;
  • Representing a foreign oil and gas joint venture company in its potential indirect acquisition of ownership in a Brunei refinery. The scope of work is to be conducted across several stages. Currently advising the client on the regulatory landscape in Brunei including sovereign immunity risks, corporate risks, environmental and climate related risks and enforcement of proceedings under the intended Share Purchase Agreement;
  • Advising a wholly-owned subsidiary of the Brunei Investment Agency (BIA) in arbitration proceedings with the Singapore International Arbitration Centre (SIAC) against a Malaysian property manager for unpaid rental in respect of several blocks of apartments that were constructed for the SEA Games;
  • Represent Upland Resources Ltd, an oil and gas company listed on the London Stock Exchange in its activities in Brunei related to exploration, including advice on Collaboration Agreements, Production Sharing Agreements, Joint Operating Agreements and oil and gas regulatory matters;
  • Reviewed contractual documentation and provided advice to the Singapore branch of an Australian Bank in setting up their supply of crude and crude products to a local Refinery from overseas suppliers, encompassing review of Sale and Purchase Contracts, Storage Agreements, and advice on oil and gas regulations, practices and permits, competition law, health, safety and environment law.
