The Corporate Practice Group of Harry Elias Partnership LLP acted for the Vendor Tan Jiok Saw in connection with the sale of the entire issued and paid-up share capital of JS Tan Consultants Pte. Ltd., a Singapore-incorporated structural engineering and accredited checking consultancy, to GECOSS Corporation, a company listed on the Tokyo Stock Exchange. The transaction involved the disposal of 100% of the issued share capital of JS Tan, for an aggregate consideration of S$7,800,000. Harry Elias advised the Vendor on the transaction structuring, negotiation and preparation of the share purchase agreement, the due diligence and disclosure exercise, governance arrangements, related regulatory matters and completion of the transaction.
